1. Acceptance of terms
Welcome to StrokeInk. These Terms and Conditions ("Terms") govern your access to and use of the StrokeInk website (strokeink.com), the StrokeInk hardware device, the StrokeInk mobile application, and any related services (collectively, the "Service"), all offered under the brand "StrokeInk".
The StrokeInk brand is operated by two related companies under common ownership, as described in Section 2. In these Terms, "StrokeInk", "we", "us", and "our" refer to whichever of those companies is responsible for the part of the Service in question.
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Who operates what
- Montana Prosperity LLC ("Montana"), a New Mexico limited liability company, operates the StrokeInk mobile applications (iOS and Android) and the app service — including user accounts, round and score data, Pro subscriptions, AI Coach, notifications, and syncing with your StrokeInk device. Your use of the apps and app service is an agreement between you and Montana.
- VD Solutions LLC ("VD Solutions"), a Texas limited liability company based in Austin, Texas, operates the StrokeInk website, online store, and hardware — including the sale of the StrokeInk device, checkout, shipping, and order-related communications. Your purchase of the device and use of the website and store is an agreement between you and VD Solutions.
Where a section below concerns the apps or app service, it refers to Montana; where it concerns the device, website, or store, it refers to VD Solutions.
3. Eligibility
You must be at least 18 years old to create an account or purchase the StrokeInk device. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
4. Your account
To access certain features of the Service, you must create an account (operated by Montana). You agree to:
- Provide accurate, current, and complete information
- Maintain and update your account information as needed
- Keep your password confidential
- Be responsible for all activity that occurs under your account
- Notify us immediately of any unauthorized use
We reserve the right to suspend or terminate your account if any information provided is inaccurate or if you violate these Terms.
5. The service
StrokeInk provides a hardware golf scorecard device (sold by VD Solutions), a companion mobile application, and cloud-based features for tracking, analyzing, and sharing your golf rounds (operated by Montana). The Service is provided "as is" and may evolve over time.
We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation.
6. Subscription & payment
StrokeInk offers a Free tier with basic functionality and a Pro tier that unlocks additional features for a recurring subscription fee. Pro subscriptions and in-app purchases are operated by Montana and billed through the app stores.
- Pro pricing: $9.99 USD per month or $99.99 USD per year, as listed on our website and in the app. Prices may change without notice.
- Billing: Pro subscriptions are sold as auto-renewing in-app purchases and are billed through your Apple App Store or Google Play account. By subscribing, you authorize the applicable app store to charge your payment method automatically until you cancel.
- Free trial: If we offer a free trial, you will not be charged until the trial ends. Cancel before the trial expires to avoid being billed.
- Cancellation: You may cancel your subscription at any time through your Apple or Google account settings. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial periods unless required by law.
- Credits: AI Coach credit packs are one-time, consumable in-app purchases, consumed as you use AI Coach features.
- Failed payments: If payment fails, we may suspend access to Pro features until payment is resolved.

7. Hardware purchases
The StrokeInk device is sold by VD Solutions, separately from the subscription. By placing an order, you agree to the price, shipping cost, and any applicable taxes shown at checkout.
- Shipping times are estimates and not guaranteed.
- The device comes with a limited warranty as described on our Refunds & Warranty page.
- Tampering with, disassembling, or modifying the device voids the warranty.
8. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law
- Attempt to reverse engineer, decompile, or extract the source code of the Service
- Interfere with or disrupt the Service or servers
- Use automated systems (bots, scrapers) to access the Service without our permission
- Impersonate any person or misrepresent your identity
- Post, share, or transmit harassing, threatening, defamatory, obscene, or otherwise harmful content
- Use the Service to spam, phish, or distribute malware
- Violate the intellectual property rights of others
9. User content
You retain ownership of the content you create on the Service, including round data, posts, comments, photos, and notes ("User Content").
By submitting User Content, you grant StrokeInk a worldwide, non-exclusive, royalty-free license to use, reproduce, display, and distribute that content solely for the purpose of operating and improving the Service.
You are solely responsible for your User Content and for the consequences of posting or sharing it. You represent and warrant that you own or have the necessary rights to your User Content and that it does not violate any law or the rights of any third party. Neither Montana Prosperity LLC nor VD Solutions LLC is responsible or liable for User Content created, posted, or shared by you or other users, and any views expressed in User Content are those of the user who submitted them, not of StrokeInk. We do not pre-screen User Content but reserve the right, at our sole discretion, to remove or disable access to any User Content at any time, with or without notice, for any reason.
10. Content reporting & takedown
If you believe that any User Content on the Service infringes your intellectual property rights, violates your privacy, or otherwise breaks these Terms or the law, you may report it to us at hello@strokeink.com with "Content Report" in the subject line.
Please include: (a) a description of the content and where it appears in the Service; (b) the reason you believe it should be removed; (c) your contact information; and, for intellectual-property claims, (d) a statement that you have a good-faith belief the use is not authorized, and (e) a statement, under penalty of perjury, that the information in your report is accurate and that you are the rights holder or authorized to act on their behalf.
We will review reports and may remove or disable access to the reported content at our sole discretion. We may also remove content proactively. Removal decisions are made by the entity that operates the affected part of the Service — Montana Prosperity LLC for the apps and app service. We are not obligated to remove content and are not liable for content we decline to remove, to the extent permitted by law.
11. Intellectual property
All intellectual property in the Service — including the device design, firmware, app, website, logo, name "StrokeInk," and all related branding — is owned by the StrokeInk entities (Montana Prosperity LLC and VD Solutions LLC) or their licensors, and protected by copyright, trademark, and other laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes, subject to these Terms.
You may not copy, modify, distribute, sell, or create derivative works based on the Service without our written permission.
12. Privacy
Your privacy is important to us. Our collection, use, and protection of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
13. Disclaimers
The service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
We do not warrant that the Service will be uninterrupted, error-free, secure, or that data will be accurate or reliable. Golf scoring, handicap calculations, statistics, and recommendations provided by StrokeInk are for informational purposes only and should not be relied upon as official records. Any handicap figure shown is an estimated, unofficial value and is not an official World Handicap System index.
Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
14. Limitation of liability
To the maximum extent permitted by law, neither Montana Prosperity LLC nor VD Solutions LLC shall be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, use, goodwill, or other intangible losses — arising out of or related to your use of (or inability to use) the Service.
Our total combined liability to you for any claim related to the Service shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100).
15. Indemnification
You agree to indemnify and hold harmless the StrokeInk entities (Montana Prosperity LLC and VD Solutions LLC) and their officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of another party.
16. Termination
You may stop using the Service at any time and may delete your account directly in the StrokeInk app, from the account menu.
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately.
Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.
17. Changes to these terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service. The updated Terms take effect when posted (or on the effective date stated). Continued use of the Service after changes means you accept the updated Terms.
18. Governing law & dispute resolution
These Terms are governed by the laws of the state applicable to the entity you are dealing with, without regard to conflict-of-laws principles:
- Matters relating to the StrokeInk apps and app service are governed by the laws of the State of New Mexico, where Montana Prosperity LLC is organized. Disputes shall be resolved in the state or federal courts located in Bernalillo County, New Mexico.
- Matters relating to the StrokeInk device, website, and store are governed by the laws of the State of Texas, where VD Solutions LLC is organized. Disputes shall be resolved in the state or federal courts located in Travis County, Texas.
You consent to the personal jurisdiction of the applicable courts. If you are a consumer residing in a jurisdiction that grants you mandatory rights to bring claims in another forum or under different law, this section does not override those rights.
19. Binding arbitration & class-action waiver
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and to have disputes decided by a jury.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service — whether it concerns the apps and app service (Montana Prosperity LLC) or the device, website, and store (VD Solutions LLC) — shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except as noted below. The arbitration shall take place in Travis County, Texas, or, at your election, by video or telephone, and may apply the substantive law of the entity you are dealing with as set out in Section 18. Judgment on the award may be entered in any court with jurisdiction.
Class-action waiver. You and each StrokeInk entity agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims.
Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive or equitable relief in court for actual or threatened infringement or misuse of intellectual property. Nothing in this section prevents you from reporting a matter to a government agency.
30-day opt-out. You may opt out of this arbitration agreement by emailing hello@strokeink.com with "Arbitration Opt-Out" in the subject line within 30 days of first accepting these Terms. If you opt out, Section 18 (Governing law) governs how disputes are resolved.
Survival & severability. If the class-action waiver is found unenforceable as to a particular claim, that claim shall proceed in court, but the rest of this section survives. This section survives termination of these Terms.
